Terms of Service
1. Who we are and what these terms cover
OmniCommand ("the Service") is a marketing intelligence software service operated by Omni Media Consulting (OPC) Pvt. Ltd. ("we," "us"), E-2/11, 2nd Floor, Malviya Nagar, New Delhi 110017, India. These Terms of Service ("Terms") govern your access to and use of the Service, including the web application at app.omnicommand.ai and any related interfaces. By creating an account, checking the acceptance box during onboarding, or continuing to use the Service after being presented with an updated version of these Terms, you agree to be bound by them. If you are accepting on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.
2. What the Service does
OmniCommand connects, with your authorization, to third-party advertising and analytics platforms (currently Meta Ads, Google Ads, Google Analytics 4, and Google Search Console) and analyzes the data those platforms return in order to produce findings, summaries, recommendations, and reports. The Service only reads from your connected platforms and never changes anything in them: it does not create, modify, pause, or delete campaigns, budgets, or any other configuration in your advertising or analytics accounts. Recommendations are suggestions for you to evaluate and act on yourself.
3. Your accounts and connections
You connect platforms through each provider's own authorization flow (OAuth). You may disconnect any platform at any time in Settings; disconnection stops future data collection from that platform. You are responsible for having the right to connect the accounts you connect, for example that you are authorized to grant access to a client's ad account. You are responsible for activity under your OmniCommand login and for keeping your credentials secure. You must be at least 18 years old to use the Service.
4. Your data and our license to process it
As between you and us, you own the data from your connected platforms and the content you upload (such as lead imports). You grant us a limited license to access, store, process, and display that data solely to provide, maintain, secure, and improve the Service for you. The AI-assisted features described in Section 6 operate under this same license. We do not sell your data.
5. Aggregated and anonymized data
We may create and use aggregated, anonymized data derived from use of the Service: data that does not identify you, your company, your clients, or any individual, and cannot reasonably be re-identified. We may use it for purposes including building industry benchmarks, improving our analytical models, and publishing general insights. Where benchmark-style comparisons are shown inside the Service, they are presented with their source identified.
6. AI-assisted features
Parts of the Service use artificial-intelligence models to generate narrative summaries, explanations, and recommendation wording. Numerical figures shown in the Service are computed deterministically from your connected data, not generated by AI models. AI-generated text is machine-produced and may contain errors; it is provided to inform your judgment, not replace it. Data processed by AI features may be transmitted to our AI infrastructure providers (see Section 8) under agreements that prohibit them from using your data to train their general-purpose models.
7. What we promise and what we do not
We work to keep the Service accurate, available, and secure, but the Service is provided "as is" and "as available." We do not warrant that findings, metrics, or recommendations are error-free or fit for any particular decision. Marketing outcomes depend on factors outside the Service's visibility, and figures shown depend on the accuracy and completeness of data returned by your connected platforms. You remain solely responsible for decisions you make, including budget and campaign decisions, whether or not informed by the Service.
8. Subprocessors and infrastructure
The Service runs on Microsoft Azure infrastructure. Current processing regions: application and database hosting in Central India; certain services in East US; AI model inference in the United States. We use a small number of subprocessors (hosting, email delivery, AI inference) bound by data-protection obligations. A current subprocessor list is available on request. We will give notice of material changes to processing regions or subprocessors via the Service.
9. Plans, AI allowances, and fees
The Service is offered in plans. A plan belongs to the account that holds it, and every workspace under that account uses that plan. A plan's features and limits, such as the number of sources, members, and manual syncs, are as shown in the Service or as agreed with us in writing.
Plans that include AI features come with a monthly AI allowance, measured per calendar month (UTC). An unused allowance does not carry over to the next month. Once the allowance for a month is used up, AI features may pause until the allowance resets at the start of the next month or a top-up is added; the rest of the Service keeps working. The Service notifies the account's members in the Service, and by email unless they have turned those emails off, as usage approaches and reaches the allowance.
Fees for paid plans and top-ups are as displayed at the time of purchase. You may cancel a paid plan at any time; cancellation takes effect at the end of the current billing period. Refunds, where applicable, are governed by the terms of your plan and applicable law.
For pilot participants: any pilot terms, discounts, or free periods are as agreed in writing with us and supersede this section for the pilot period.
10. Acceptable use
You agree not to: misuse the Service or access it by any means other than the interfaces we provide; probe, scan, or test the vulnerability of the Service except with our written permission; use the Service to violate any law or third-party right, including the terms of the platforms you connect; resell or provide the Service to third parties except as expressly permitted (agency use for your own clients within your workspace is permitted); or attempt to extract our software, models, or another customer's data.
11. Confidentiality
Each party may receive non-public information from the other. Each party will use the other's confidential information only as needed to perform under these Terms and will protect it with at least reasonable care. Reports you mark or export for clients are yours to share; the Service's underlying software and methods are ours.
12. Term, suspension, and termination
These Terms apply while you use the Service. You may stop using the Service and delete your workspace at any time; deletion permanently removes your workspace's data from the live Service (see the Privacy Policy for retention details). We may suspend or terminate access for material breach of these Terms, for security reasons, or where required by law, with notice where practicable. Sections that by their nature should survive (4–5 licenses already exercised, 7, 11, 13–15) survive termination.
13. Liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to liability. Nothing in these Terms limits liability that cannot be limited by law.
14. Changes to these Terms
We may update these Terms. Each version carries an identifier and effective date. For material changes, the Service will present the updated Terms and require acceptance before continued use; the version you accepted, and when, is recorded. Continued use after acceptance of an updated version constitutes agreement to that version.
15. Governing law and disputes
These Terms are governed by the laws of India, and the courts at New Delhi have exclusive jurisdiction, subject to any mandatory law of your place of residence.
